Key points (quick summary)

Communication: Email only. Response time is 1–2 business days. One optional kickoff call (15–20 min) if needed.

Process: Brief approval (Checkpoint 1) → Rough cut (Checkpoint 2) → Final delivery (Checkpoint 3).

1) Definitions
-
“Client” means the person or entity purchasing services.
-
“Creator” means Spiraluv Creative LLC (“I,” “me”).
-
“Deliverables” means the final exported media files provided to Client.
-
“Project Start” is defined in Section 3.
-
“Business days” means Monday–Friday excluding major US holidays.
2) Scope of services
-
I create AI-assisted short-form videos and related creative deliverables as described in your invoice/Statement of Work (“SOW”).

Unless otherwise stated in the SOW, the default deliverable is:
-
Vertical 9:16, 1080×1920, MP4 (H.264), 30 fps

If you need other formats (4K, ProRes, 1:1, 16:9, multiple cutdowns), that is available as an add-on.
3) Project Start, schedule, and turnaround
Project Start
Project Start begins when all three are complete:
-
payment is received,
-
required client assets are received (if applicable), and
-
Client approves the creative brief at Checkpoint 1.
Standard turnaround
Unless otherwise stated in your SOW:
-
15-second video: 2 weeks
-
30-second video: 3 weeks
-
60-second video: 4 weeks
Turnaround assumes Client feedback within 2 business days per checkpoint. If Client feedback is late, the delivery date extends by the same number of late business days.
Rush work
Rush delivery may be offered only if my schedule allows, for an additional fee, and requires written confirmation in the SOW.
4) Communication and meetings

Primary communication is email.

My typical response time is 1–2 business days.

One optional kickoff call (15–20 minutes) may be scheduled if needed. Additional calls are billable or may be declined.

Unscheduled calls, urgent same-day requests, and after-hours availability are not included.
5) Checkpoints and approvals
Checkpoint 1: Creative brief approval
I provide a short written brief (and optionally style direction). Client approves concept, mood, and direction.
Checkpoint 2: Rough cut approval
I provide a draft edit for structural feedback (pacing, sequence, general timing).
Checkpoint 3: Final delivery
I provide final exports. Only small technical fixes are included at this stage (examples: audio levels, typo fixes, minor timing trims).
Approval is assumed if Client does not respond within 2 business days after a checkpoint is delivered.
6) Revisions and change orders
Included revisions (unless your SOW says otherwise)

Included revisions are intended to refine the approved direction, not restart it.

Minor revisions (included):
-
small timing trims and pacing tweaks
-
swapping up to 1–2 shots while keeping the approved concept
-
small text/logo placement changes
-
mild color/brightness adjustments
-
small audio balance adjustments

Major revisions (not included):
-
changing the concept, story, theme, or primary subject after Checkpoint 1 approval
-
changing most shots, adding new scenes, or significantly altering the direction
-
redoing work due to new requirements not disclosed in the original brief

Change orders
Major revisions require a written change order with:
-
revised scope,
-
revised fee, and
-
revised timeline.
Work pauses until the change order is approved.
7) Client materials and responsibilities
If the project requires Client-provided assets (logo, product photos/video, brand guidelines, fonts, claims/copy), Client agrees:
-
they have the right to use and provide those assets, and
-
they are responsible for the accuracy and legality of any claims or copy they provide.
Delays in providing assets delay the schedule.
8) Usage license and rights
Default usage license (included)
Upon full payment, Client receives a perpetual, worldwide, non-exclusive license to use the final Deliverables for:
-
organic social posting,
-
websites/landing pages, and
-
email marketing.
Paid ads and expanded usage (add-on)
Any of the following requires an additional license fee or custom quote:
-
paid social ads, whitelisting, or “dark posts”
-
broadcast/streaming placements
-
out-of-home (billboards)
-
category exclusivity
-
transfer of editable project files
9) Portfolio display and credit
Unless Client purchases a confidentiality/no-portfolio add-on in writing, I may display completed Deliverables:
-
on my website portfolio, and
-
in private case studies or pitch decks.
Timing: after Client publishes the work, or 30 days after final delivery, whichever comes first.
10) AI tools disclosure
I may use AI-assisted tools in ideation and production (image generation, video generation, upscaling, voice, music, editing). Client understands:
-
AI outputs may not be eligible for copyright registration in all cases, and
-
I cannot guarantee Deliverables are free from all similarity risk to third-party content.
11) Content restrictions

I will not create content that is intended to infringe third-party rights, including unauthorized trademarks, characters, or protected likenesses.

I may refuse any request that I believe is unlawful or high-risk.
12) Fees and payment

100% upfront payment is required to begin work unless the SOW states otherwise.

Deliverables are released only after payment is received.
13) Cancellations and refunds
-
If Client cancels before Project Start, I will refund payments received.

If Client cancels after Project Start, fees are non-refundable because work time has been reserved and creative work has begun.

If Client goes unresponsive for 14 days, the project may be closed as complete. Reopening may require a restart fee.
14) No guarantees
I do not guarantee specific outcomes or performance metrics, including views, engagement, conversions, sales, press, or algorithmic performance.
15) Limitation of liability
To the maximum extent allowed by law:

My total liability is limited to the amount Client paid for the project.

I am not liable for indirect, incidental, special, or consequential damages.
16) Governing law
These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules.
